UPDATE ON ICCM Legalization process
Context:
At the ICCM General Assembly that took place on Wednesday 6 August 2025 during the ICCM24 in Baltimore, USA, the Executive Council (EC) was authorised to establish ICCM as a charitable company in England, or formally a so-called Charitable Company Limited by Guarantee (CLG) in England.
Current status:
ICCM has contracted the England based law firm VWV LLP that specializes in setting up charitable entities under England & Wales jurisdiction. To acquire CLG status requires the submission of applications to the English Charity Commission (CC) as well as to the UK revenue services (HMRC). The application for the CC will include the so-called Articles of Association (AoA). An additional document called the “Internal Regulations” (IR) will also be drafted.
The AoA defines the objectives and governance of the ICCM CLG according to legal requirements. This is supplemented by the associated IR document that defines the relationship between the CLG (as governed by the AoA), the General Assembly of the ICCM, the organisation and running of ICCM conferences, and any other matters that are currently in the ICCM Constitution and By-Laws. Together, the AoA and IR documents replace the current ICCM constitution and By-Laws. The legal document is the AoA, whereas the IR is supplementary but not legally binding (meaning that most future changes to ICCM operations and inner workings can be made without application to the CC). The EC takes active control of as much as of the process as possible, including project management, preparation and submission of the required documents. The ICCM Legalization Committee (ILC) in the EC is actively reviewing the first draft of the AoA that was received from VWV LLP and will be drafting the IR. Completion of the AoA and IR documents is anticipated later this year, following which the CLG applications will be submitted to CC and HMRC. Further updates to follow.
